Agreement to Terms
These Terms of Service govern your use of the Ried Management Consulting website and the professional consulting services we provide. By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our website or engage our services.
Our Services
Ried Management Consulting provides professional financial management consulting services to businesses operating in Nigeria. Our services include, but are not limited to: business financial health checks, inventory control and reconciliation, forensic audit and fraud investigation, outsourced internal audit, management accounts and financial reporting, budget planning and financial forecasting, investor and loan readiness, accounting system setup, and AI-powered financial analysis.
All consulting engagements are subject to a separate written engagement letter or service agreement that sets out the specific scope, deliverables, timelines, and fees for the engagement.
Engagement Process
Our standard engagement process is as follows:
- Discovery Call: We begin with a free 30-minute discovery call to understand your business needs and determine whether our services are a good fit.
- Proposal: Following the discovery call, we provide a written proposal outlining the scope of work, deliverables, timeline, and professional fees.
- Engagement Letter: Upon acceptance of the proposal, we issue a formal engagement letter that constitutes the binding agreement between both parties.
- Service Delivery: We deliver the agreed services in accordance with the engagement letter, keeping you informed of progress throughout.
- Reporting: At the conclusion of the engagement, we provide a formal report or deliverable as specified in the engagement letter.
Confidentiality
Confidentiality is a cornerstone of our professional practice. All information, documents, records, and data shared with us during the course of a consulting engagement are treated as strictly confidential. We will not disclose any client information to third parties without your prior written consent, except where disclosure is required by Nigerian law, a court order, or applicable professional standards.
This confidentiality obligation applies to all members of our consulting team and extends indefinitely beyond the conclusion of the engagement. We maintain appropriate physical and digital security measures to safeguard client information at all times.
For forensic audit and fraud investigation engagements, we apply enhanced confidentiality protocols to ensure the integrity of the investigation and the protection of all parties involved.
Professional Standards
All services are delivered in accordance with applicable professional standards, including the standards issued by the Institute of Chartered Accountants of Nigeria (ICAN) and internationally recognised auditing and accounting standards where relevant. Our principal consultant is a qualified chartered accountant (ACA) and adheres to the ethical and professional conduct requirements of the profession.
Fees and Payment
Professional fees are agreed in advance and set out in the engagement letter. Our standard payment terms are as follows:
- A mobilisation fee (typically 50% of the total engagement fee) is payable before work commences
- The balance is payable upon delivery of the final report or deliverable
- For ongoing retainer engagements (such as outsourced internal audit), fees are invoiced monthly in advance
- All fees are quoted in Nigerian Naira unless otherwise agreed
- Payment is due within 14 days of invoice date unless alternative terms are agreed in writing
We reserve the right to suspend work on an engagement if payment is overdue by more than 30 days. Late payment may attract interest at the prevailing Central Bank of Nigeria monetary policy rate.
Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide timely access to the financial records, documents, systems, and personnel necessary for the engagement
- Ensure that all information provided to us is complete and accurate to the best of your knowledge
- Designate a primary contact person to liaise with our consulting team
- Make decisions and provide approvals in a timely manner to avoid delays in the engagement
Limitation of Liability
Our services are advisory in nature. While we exercise professional care and due diligence in all engagements, we do not guarantee specific financial outcomes or results. Our liability for any claim arising from or related to our services shall not exceed the total fees paid for the specific engagement giving rise to the claim. We shall not be liable for any indirect, consequential, or incidental losses or damages.
Intellectual Property
All reports, analyses, templates, methodologies, and other deliverables produced during an engagement remain our intellectual property until full payment is received, at which point the specific deliverables produced for your engagement transfer to you. Our underlying methodologies, tools, and know-how remain our property at all times.
Termination
Either party may terminate an engagement by providing 14 days’ written notice. In the event of termination, you will be responsible for payment of fees for all work completed up to the date of termination plus any approved out-of-pocket expenses incurred. We reserve the right to terminate an engagement immediately if we discover a conflict of interest or if continued engagement would compromise our professional or ethical standards.
Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be referred to mediation in Lagos, Nigeria. If mediation is unsuccessful, the dispute shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. These terms are governed by the laws of the Federal Republic of Nigeria.
